ZEEDER AI Terms & Conditions
These AI Terms & Conditions govern your access to and use of ZEEDER’s artificial intelligence products, software, APIs, Voice AI services and related documentation (collectively, the “ZEEDER AI Services” or “Services”).
These AI Terms constitute a legally binding agreement between you (“Customer”, “you” or “your”) and ZEEDER (Pty) Ltd (“ZEEDER”, “we”, “us” or “our”).
By accessing or using any ZEEDER AI Service, you acknowledge that you have read, understood and agree to be bound by these AI Terms together with the applicable Governing Documents referenced throughout this Agreement.

1. Definitions & Relationship with Other Documents
1.1 Definitions
The following definitions apply throughout these AI Terms and Conditions.
AI Output
Any text, voice recording, transcript, score, analysis, recommendation, or other data generated by the ZEEDER AI Services.
VOICE AGENT/S Concierge
ZEEDER’s website-embedded voice AI agent that engages, qualifies and converts website visitors.
Corporate Customer
Any Customer that is a legal entity (company, close corporation, partnership, trust or other organisation) using ZEEDER AI Services for its own internal business purposes or to provide services to its own clients.
End User
An individual natural person who interacts with a ZEEDER AI Service, including a lead who receives a call from ZEEDER, a website visitor who speaks to VOICE AGENT/S, or a customer whose identity is verified by Voice AI Verifier.
Lead
A potential customer or prospect whose data is processed through ZEEDER AI Services, including missed calls, web form submissions or chat enquiries.
POPIA
South Africa’s Protection of Personal Information Act, 2013 (Act No. 4 of 2013).
Third-Party Platform
Any software, infrastructure, API or service not owned by ZEEDER that the ZEEDER AI Services integrate with or rely upon, including but not limited to Twilio, WhatsApp (Meta), AWS, Google Cloud, HubSpot, Salesforce and any telephony provider.
Voice AI Verifier
ZEEDER’s identity verification service using natural conversation to reduce fraud.
ZEEDER Lead Tracker
ZEEDER’s automated outbound calling, lead qualification, scoring and follow-up service.
1.2 Interpretation
Unless the context indicates otherwise:
Words importing the singular shall include the plural and vice versa.
Clause headings are for convenience only and shall not affect the interpretation of these AI Terms.
Any reference to a statute or statutory provision includes any subordinate legislation made under that provision.
1.3 Relationship with Other Documents (Incorporation by Reference)
These AI Terms form an integral part of the suite of agreements between you (“Customer”) and ZEEDER.
They must be read in conjunction with, and are subject to, the following Governing Documents:

1.3.2 Order of Precedence
In the event of any conflict or inconsistency between these AI Terms and any of the other Governing Documents:
(a) The Main Master Services Agreement (MSA) shall prevail in respect of general contractual matters, liability limitations and dispute resolution.
(b) The Data Processing Addendum (DPA) shall prevail in respect of data protection matters.
(c) The Artificial Intelligence Liability Policy (Part 11) shall prevail in respect of AI liability matters.
(d) These AI Terms shall prevail in respect of product-specific AI matters relating to Lead Tracker, Voice AI Verifier and VOICE AGENT/S Concierge.
(e) The Refund and Return Policy (Part 5) shall prevail in respect of refunds and cancellations.
(f) The Payment Terms of Service (Part 4) shall prevail in respect of payment and billing matters.
1.3.3 Acknowledgement
By using ZEEDER AI Services, you acknowledge that you have read, understood and agree to be bound by all of the Governing Documents, and that your rights and obligations are determined by the entire suite of agreements, not by these AI Terms in isolation.
2. Scope of Services & Customer Types
2.1 Two Customer Categories
ZEEDER provides the AI Services to two distinct categories of Customers:
(a) End-User Customers (Individuals)
Natural persons who purchase or subscribe to ZEEDER AI Services for their own personal or sole-proprietor business use.
(b) Corporate Customers
Legal entities that purchase ZEEDER AI Services for internal business use or to integrate, embed, or resell the Services to their own clients via their own websites, applications or platforms.
2.2 Corporate Customers Acting as Responsible Parties
If you are a Corporate Customer and you use ZEEDER AI Services to process Personal Data of your clients or their End Users (for example, by embedding VOICE AGENT/S on your client’s website or using ZEEDER to call leads on behalf of your client), then:
You are the Responsible Party under POPIA for that data.
ZEEDER acts as the Operator under POPIA.
You must have your own lawful basis for processing your clients’ personal information.
You may be required to enter into a separate Data Processing Agreement (DPA) with ZEEDER where required by law or requested by ZEEDER.
For further information, refer to the Data Processing Addendum (Doc 14).
2.3 No Unlawful Use
You may not use ZEEDER AI Services for any unlawful purpose, including but not limited to:
Fraud
Harassment
Illegal telemarketing
Activities that violate the Consumer Protection Act
Activities that violate the National Do Not Call Registry
Any activity that breaches POPIA or any equivalent privacy legislation
Further requirements are contained in the Acceptable Use Policy (Part 3).
2.4 No High-Stakes Use
You agree that ZEEDER AI Services must not be relied upon for:
Professional advice, including legal, medical, financial or other regulated advice.
Decisions that could result in death, personal injury or substantial property damage.
Compliance with any law, regulation or industry standard.
Any purpose where inaccurate AI-generated outputs could cause material harm to you or any third party.
These restrictions are further detailed in the Artificial Intelligence Liability Policy (Part 11) and the Main Master Services Agreement (MSA).
3. Third-Party Platforms – Critical Acknowledgement
3.1 ZEEDER Relies on Third-Party Platforms
ZEEDER AI Services integrate with, depend upon, or are hosted on Third-Party Platforms, including but not limited to:
Twilio – Voice calls, SMS and WhatsApp messaging.
WhatsApp (Meta) – WhatsApp Business API messaging.
Amazon Web Services (AWS) – Cloud hosting (Cape Town Region).
Google Cloud / Google Analytics – Analytics and selected AI models.
HubSpot, Salesforce and other CRM platforms – Data synchronisation where integrations are enabled.
Facebook, Instagram, Google Services, SEO and TikTok – Social media and digital platform integrations.
3.2 Your Obligation to Comply with Third-Party Terms
By using ZEEDER AI Services, you agree to comply with the applicable terms, conditions and policies of every Third-Party Platform used to deliver the Services.
This includes, without limitation:
Twilio Terms of Service
WhatsApp Business Terms
AWS Customer Agreement
CRM provider agreements (including HubSpot and Salesforce)
Social media platform terms
Telecommunications providers
Email platform providers
You acknowledge that ZEEDER is not responsible for any suspension, interruption or termination of the Services resulting from:
Changes to third-party platform policies
Technical failures
Electricity supply interruptions
Force majeure events
Enforcement actions taken against you or ZEEDER by a Third-Party Platform
3.3 Pass-Through Obligations
Where a Third-Party Platform imposes specific obligations, those obligations automatically apply to your use of ZEEDER AI Services.
Examples include:
Obtaining consent for WhatsApp messaging.
Compliance with Twilio’s Acceptable Use Policy.
Compliance with AWS content restrictions.
Compliance with any applicable Third-Party Platform requirements.
You agree to be bound by these obligations as though they were expressly incorporated into these AI Terms.
Further requirements are contained in the Acceptable Use Policy (Part 3) and the Comprehensive Terms of Service (Doc 16).
3.4 No Liability for Third-Party Failures
To the maximum extent permitted by applicable law, ZEEDER shall not be liable for any loss, damage or delay arising from the failure, unavailability or policy changes of any Third-Party Platform.
Further limitations of liability are contained in the Artificial Intelligence Liability Policy (Part 11) and the Main Master Services Agreement (MSA).
4. Corporate Customers – Client-Facing Use
4.1 Embedding on Client Websites
If you are a Corporate Customer and embed VOICE AGENT/S Concierge, ZEEDER forms or any ZEEDER AI widget on a website owned or operated by your client, you must:
Obtain your client’s written authorisation to use ZEEDER AI Services on their behalf.
Ensure your client’s website includes a legally compliant Privacy Policy that discloses the use of AI voice technology and data processing by ZEEDER.
Obtain all necessary consents from your client’s End Users for voice recording, call analytics and personal information processing as required by POPIA.
Indemnify ZEEDER against any claim arising from your failure to obtain the required authorisations or consents.
4.2 White Labelling and Resale
If you wish to resell ZEEDER AI Services under your own brand (white labelling), you must enter into a separate Reseller Agreement with ZEEDER.
These AI Terms do not grant any resale or white-label rights.
4.3 ZEEDER Branding
Unless a written White-Label Agreement has been executed, you may not remove, obscure or alter:
ZEEDER branding.
“Powered by ZEEDER” notices.
AI voice agent disclosures.
Statements such as:
“I’m VOICE AGENT/S, an AI assistant.”
5. Specific Product Terms
5.1 ZEEDER Lead Tracker
Consent for Outbound Calls
You warrant that you have obtained prior consent from each Lead, or have another lawful basis under POPIA, to receive automated outbound calls from ZEEDER.
Call Recording Disclosure
Where required by law, you must inform Leads that calls may be recorded or analysed by AI.
ZEEDER’s voice agent will include an automated disclosure unless you instruct otherwise in writing. If you choose to remove this disclosure, you accept full responsibility and liability for any resulting legal or regulatory non-compliance.
Lead Scoring
Lead scores are generated by artificial intelligence and are provided for advisory purposes only.
ZEEDER does not guarantee that:
A “hot” lead will convert.
A “cold” lead will not convert.
5.2 Voice AI Verifier
Identity Verification
Voice AI Verifier provides a probabilistic assessment of identity and is not a legally binding identity confirmation.
You must not rely solely on Voice AI Verifier for high-value or high-risk decisions, including financial transactions exceeding ZAR 50,000, without additional human verification.
Fraud Detection
The Service identifies potential fraud indicators using artificial intelligence.
False positives and false negatives may occur.
ZEEDER accepts no liability for fraud losses resulting from reliance on Voice AI Verifier.
5.3 VOICE AGENT/S Concierge (Website Voice AI)
Disclosure to Website Visitors
You must ensure that your website clearly informs visitors that they are interacting with an AI voice assistant before, or at the beginning of, every interaction.
A recommended disclosure is:
“I’m VOICE AGENT/S, an AI assistant. How can I help?”
Recording Consent
If call recording is enabled on your website, you are responsible for obtaining the visitor’s explicit consent in accordance with:
The Protection of Personal Information Act (POPIA)
The Regulation of Interception of Communications and Provision of Communication-Related Information Act (RICA)
6. Data Processing & POPIA Compliance
6.1 ZEEDER as Responsible Party (Customer Data)
When ZEEDER processes your Personal Data, including your name, email address and billing information, ZEEDER acts as the Responsible Party under POPIA.
The processing of this information is governed by the ZEEDER Privacy Policy.
6.2 ZEEDER as Operator (Lead & End User Data)
When ZEEDER processes Personal Data belonging to your Leads or End Users on your behalf, ZEEDER acts as an Operator under POPIA.
ZEEDER will:
Process Personal Data only in accordance with your documented instructions.
Implement appropriate technical and organisational security measures, including encryption and access controls.
Notify you of any data breach affecting your information.
Assist you with POPIA data subject requests, including requests for access, correction or deletion of Personal Information directed to ZEEDER.
Further information is contained in the Data Processing Addendum (Doc 14).
6.3 Data Sovereignty
All Lead and End User data is stored within South Africa using the AWS Cape Town Region, unless you specifically request and purchase international hosting.
ZEEDER will not transfer Personal Data outside South Africa without your written consent and the implementation of appropriate legal safeguards.
6.4 Data Retention
Unless otherwise specified by your subscription plan or retention settings:
Call transcripts, recordings and Lead Scores are retained for 90 days.
You may request the deletion of specific Personal Data at any time.
ZEEDER will process eligible deletion requests within 30 days, subject to any applicable legal or regulatory retention requirements.
7. Intellectual Property
7.1 ZEEDER’s Intellectual Property
All ZEEDER AI Services, including but not limited to software code, algorithms, AI models, voice agent personalities (VOICE AGENT/S), dashboards, APIs, documentation and trade secrets, remain the exclusive intellectual property of ZEEDER (Pty) Ltd.
Your subscription grants you a non-exclusive, non-transferable and revocable licence to access and use the Services for the duration of your subscription, subject to these AI Terms.
7.2 Ownership of AI Output
End-User Customers
You retain ownership of AI Output generated solely for your own use, including call transcripts, lead scores and similar outputs.
Corporate Customers
You retain ownership of AI Output generated for your clients.
However, you grant ZEEDER a perpetual, irrevocable, worldwide and royalty-free licence to use anonymised and aggregated AI Output for:
Product improvement
AI model training
Analytics
Research and development
Service optimisation
No personally identifiable information will be used for these purposes.
7.3 Reverse Engineering
You may not:
Reverse engineer
Decompile
Disassemble
Copy
Modify
Attempt to extract the source code, algorithms or AI models
of any ZEEDER AI Service, software or related technology except where expressly permitted by applicable law.
8. Billing, Conversations & Top-Ups
8.1 Atomic Billing (Per Completed Conversation)
You are billed only for completed conversations, defined as a voice interaction where the AI agent successfully engages with a Lead or End User for at least 15 seconds, or where an SMS or WhatsApp message has been successfully delivered.
The following are not billable:
Unanswered calls
Busy signals
Failed message deliveries
8.2 Top-Up Auto-Reload
When your wallet balance falls below 10% of your most recent top-up amount, ZEEDER will automatically charge your saved payment method for the same amount to maintain uninterrupted service.
You may disable Auto-Reload within your dashboard at any time. Please note that Services may be suspended if your wallet balance reaches zero.
8.3 No Refunds for Unused Credits
Unused conversation credits are non-refundable, except where required by applicable South African consumer legislation, including the Consumer Protection Act.
Refund requests are governed by the Refund and Return Policy (Part 5), which outlines the specific circumstances under which refunds may be granted, including:
Non-delivery of Services
Material failure by ZEEDER
Death or hospitalisation (where applicable)
Where any conflict exists between this section and the Refund and Return Policy (Part 5), the Refund and Return Policy shall prevail.
9. Warranties & Disclaimers
9.1 ZEEDER Warranty
ZEEDER warrants that the AI Services will materially conform to their published documentation.
Your sole and exclusive remedy for any non-conformance is a refund of the fees paid for the non-conforming period, subject to the Refund and Return Policy (Part 5).
9.2 AI Output Disclaimer (“Hallucinations”)
Artificial Intelligence models may occasionally generate incorrect, incomplete, illogical or inaccurate outputs (“hallucinations”).
ZEEDER does not warrant that AI Output will be:
Accurate
Complete
Error-free
Suitable for any specific purpose
You remain responsible for reviewing and validating all AI-generated outputs before relying on them for business or operational decisions.

9.3 Disclaimer of Implied Warranties
To the maximum extent permitted by applicable law, ZEEDER disclaims all implied warranties, including but not limited to:
Merchantability
Fitness for a particular purpose
Non-infringement
The Services are provided on an “as is” and “as available” basis, except where otherwise expressly stated in these AI Terms.
10. Limitation of Liability
10.1 Direct Damages Cap
To the maximum extent permitted by applicable law, ZEEDER’s total aggregate liability for any claim arising out of or relating to these AI Terms or the Services shall not exceed the total fees paid by you to ZEEDER during the 12 months immediately preceding the claim.
10.2 Excluded Damages
To the maximum extent permitted by law, ZEEDER shall not be liable for any:
Loss of revenue
Loss of profits
Loss of data
Reputational harm
Indirect damages
Incidental damages
Special damages
Consequential damages
This limitation applies even where ZEEDER has been advised of the possibility of such damages.
10.3 POPIA Breach Liability
Where ZEEDER is found liable for a Personal Information breach affecting your Leads or End Users, ZEEDER’s liability is limited to the direct costs associated with breach notification as required under Section 22 of POPIA, subject to the liability cap set out in Section 10.1.
ZEEDER shall not be liable for any regulatory fines, penalties or sanctions imposed on you.
10.4 AI-Specific Limitation
Without limiting Sections 10.1 to 10.3, ZEEDER shall not be liable for any claims, damages, losses or expenses arising from:
Your use of, reliance on or implementation of AI-generated outputs.
Inaccuracies, hallucinations, bias or errors in AI-generated content.
Decisions made using AI-generated recommendations or outputs.
Claims of defamation, copyright infringement, patent infringement, regulatory non-compliance or financial loss resulting from incorrect AI-generated predictions or recommendations.

11. Indemnification
11.1 Your Indemnity of ZEEDER
You agree to indemnify, defend and hold harmless ZEEDER, its directors, employees and agents from and against any claim, loss, liability, damage or expense (including reasonable legal fees) arising from:
Your violation of any Third-Party Platform’s terms and conditions.
Your failure to obtain the required consents from your Leads or End Users.
Your use of AI Output in a manner that causes harm to a third party.
Your breach of POPIA or any other applicable law.
Your breach of the Acceptable Use Policy (Part 3).
Your failure to display the required AI disclosures or disclaimers on your website as required by the Main Master Services Agreement (MSA).
11.2 ZEEDER’s Indemnity of You
ZEEDER will indemnify you against any third-party claim alleging that the ZEEDER AI Services (excluding any Third-Party Platforms) infringe a valid South African copyright or registered trademark.
This indemnity does not apply where the alleged infringement arises because you:
Modified the ZEEDER AI Services.
Combined the Services with non-ZEEDER software, systems or products.
Used the Services in a manner not authorised by ZEEDER or these AI Terms.
12. Suspension & Termination
12.1 Suspension for Violation
ZEEDER may suspend your access to the AI Services immediately if:
You violate the terms of any Third-Party Platform.
You use the Services for illegal telemarketing, fraud or harassment.
You breach the Acceptable Use Policy (Part 3).
Your payment is overdue by more than 14 days, as set out in the Payment Terms of Service (Part 4).
ZEEDER reasonably believes your activities may harm ZEEDER’s reputation, legal standing or the integrity of its Services.
12.2 Termination for Convenience
Either party may terminate these AI Terms by providing 30 days’ written notice to the other party.
12.3 Effect of Termination
Upon termination:
Your licence to use the ZEEDER AI Services immediately ends.
ZEEDER will delete your Lead and End User data within 30 days, unless a longer retention period is required by law.
Any outstanding fees or charges become immediately due and payable.
12.4 Survival
The following sections shall survive termination of these AI Terms:

Section 7 – Intellectual Property
Section 10 – Limitation of Liability
Section 11 – Indemnification

13. Governing Law & Dispute Resolution
13.1 South African Law
These AI Terms are governed by and interpreted in accordance with the laws of the Republic of South Africa, without regard to its conflict of laws principles.
13.2 Jurisdiction
Any dispute arising from or relating to these AI Terms shall be submitted to the High Court of South Africa, Western Cape Local Division, Cape Town.
Nothing in this section prevents either party from seeking urgent interim or injunctive relief from any court of competent jurisdiction where necessary.
13.3 Dispute Resolution Process
Before commencing legal proceedings, the parties agree to make every reasonable effort to resolve disputes through the following process:
Written Negotiation – The parties will first attempt to resolve the dispute through written negotiations for a period of 14 days.
Mediation – If the dispute remains unresolved, the parties will participate in non-binding mediation for a period of 21 days.
Litigation – If mediation is unsuccessful, either party may refer the dispute to the appropriate court for final determination.
14. General Provisions
14.1 Entire Agreement
These AI Terms, together with the Governing Documents listed in Section 1.3, constitute the entire agreement between you and ZEEDER regarding the AI Services and supersede all prior agreements, understandings and representations relating to the Services.
14.2 Amendments
ZEEDER may amend these AI Terms by publishing an updated version at:
www.zeeder.com/ai-terms
For material changes, including amendments relating to liability limitations or data processing, ZEEDER will provide at least 30 days’ notice by email before the changes become effective.
Your continued use of the Services after the effective date constitutes acceptance of the revised AI Terms.
14.3 Severability
If any provision of these AI Terms is found to be invalid, unlawful or unenforceable, that provision shall be severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
14.4 No Waiver
Failure by ZEEDER to enforce any right or provision under these AI Terms shall not constitute a waiver of that right or provision.
14.5 Third-Party Beneficiaries
These AI Terms do not create any rights in favour of third parties.
Nothing contained in these AI Terms grants any third party, including Downstream Users, the right to enforce any provision of these AI Terms.
14.6 Force Majeure
ZEEDER shall not be liable for any failure or delay in performing its obligations under these AI Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to:
Acts of God
War
Terrorism
Civil unrest
Strikes or labour disputes
Lockouts
Power outages
Telecommunications failures
Internet outages
Cyber-attacks
Changes in applicable law
Failure or interruption of any Third-Party Platform or service provider
